Terms of Service

1. Agreement to these Terms

Sabha (the “Service”) is an AI-native video meeting platform operated by Starvox Labs Pvt Ltd (“Sabha”, “we”, “us”), accessible at gosabha.com. By creating an account, joining a meeting, or otherwise using the Service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you must not use the Service. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.

2. The Service and the AI participant

The Service includes an artificial-intelligence participant (“Sabha AI”) that may join meetings to transcribe, take notes, translate, caption, answer questions, search the web, present content, and teach on a shared whiteboard. Sabha AI is disclosed to participants as a visible participant.

Artificial intelligence is probabilistic and imperfect. Sabha AI can and will sometimes be wrong: it may produce output that is inaccurate, incomplete, outdated, biased, or entirely fabricated (a “hallucination”) while appearing confident and authoritative. Transcripts, translations, captions, summaries, notes, answers, and any content it generates or presents may contain errors. The Service is an assistive tool only and is not a substitute for professional judgement or for legal, medical, financial, educational, or other professional advice.

You are solely and completely responsible and accountable for your use of the Service and for any reliance on its output. This includes: (a) independently reviewing and verifying every output before using or relying on it; (b) any decision, action, communication, or omission that you or anyone in your meeting makes based on the Service or its output; and (c) all consequences arising from such use. To the maximum extent permitted by law, you assume all risk arising from your use of the Service and its AI features.

3. Recording, transcription and consent

When Sabha AI is present, meeting audio, video, shared content, and chat may be processed, transcribed, and stored to provide the Service. You are solely responsible for obtaining all consents and providing all notices required by applicable law from every participant before enabling recording, transcription, or the AI participant. You agree to comply with all applicable recording-consent, wiretap, privacy, and data-protection laws. You indemnify us against any claim arising from your failure to obtain such consents.

4. Accounts and security

You must provide accurate information and keep your credentials confidential. You are responsible for all activity under your account. You must notify us promptly of any unauthorised use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security, legal, or reputational risk.

5. Acceptable use

You must not: (a) use the Service unlawfully or to infringe any right; (b) upload malware or attempt to breach, probe, or disrupt the Service or its security; (c) reverse-engineer, scrape, or resell the Service except as permitted by law; (d) use the Service to harass, deceive, or harm others; (e) use it to generate unlawful, defamatory, or infringing content; or (f) exceed usage limits or circumvent access controls. We may remove content and restrict access to enforce this section.

6. Plans, fees and billing

Paid plans are billed in advance through our payment processor (Razorpay) on the cycle shown at purchase. Fees are exclusive of taxes (including GST), which you are responsible for. Usage-based charges (including AI voice minutes and external meeting-bot minutes) are billed as incurred. Except where required by law, fees are non-refundable. We may change pricing on prospective notice; continued use after the change constitutes acceptance.

7. Your content and licence

You retain ownership of the content you and your participants provide (“Customer Content”). You grant us a worldwide, non-exclusive licence to host, process, transmit, and display Customer Content solely to operate, secure, and improve the Service and as described in our Privacy Policy. You represent that you have all rights necessary to grant this licence.

8. Intellectual property

The Service, including all software, models, designs, and the Sabha marks, is owned by us or our licensors and is protected by law. We grant you a limited, revocable, non-transferable, non-sublicensable licence to use the Service per these Terms. No other rights are granted.

9. Third-party services

The Service integrates third-party providers (including AI model, telephony, email, and payment providers). Your use may be subject to their terms, and we are not responsible for third-party services. Availability of any integration may change.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD, OR (B) INR 5,000. THESE LIMITS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnity

You will defend, indemnify, and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your Customer Content, your use of the Service, your breach of these Terms, or your violation of any law or third-party right (including any failure to obtain recording or privacy consents).

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access immediately if you breach these Terms, fail to pay, or create risk or legal exposure. On termination, your right to use the Service ends. Sections that by their nature should survive (including 6–12, 14) will survive.

14. Governing law and disputes

These Terms are governed by the laws of India. The courts at Mumbai, Maharashtra have exclusive jurisdiction, subject to any non-waivable rights you have under applicable law. Before filing any claim, the parties will attempt good-faith resolution for 30 days.

15. Changes and contact

We may update these Terms; material changes will be notified via the Service or email, and continued use constitutes acceptance. Questions: legal@gosabha.com.
